PRIVATE LIMITED COMPANY –

A private limited company is a very suitable device for caring on the business of family and small scale concerns, as the minimum number of members required to form a private company is only TWO. A private company is defined in Sec 3(1) (b). It means a company which in its articles of association contains the following restrictions;
I-Company which has minimum paid up capital is Rs. 1 lakh.
II – Restrict the right of its members to transfer share.
III – Minimum 2 persons are required for the incorporation of a private limited company. Maximum 200 person can be the member of a private limited company.
IV- The Company must prohibits any invitation to the public to subscribe for any share in or debentures of the company. The company should prohibit any invitation or acceptance of deposit from persons other than its members, directors or their relatives.

• Memorandum of Association.
