Section 12 of the companies act lays down that every company shall have registered office on or from the fifteenth
day of its incorporation and at all the time thereafter, to which all communication and notice may be send.
Every company within thirty days of its incorporation or any change in address of registered office shall furnish a verification of its registered office in INC 22 prescribed under companies rules.
Sub – section (5) of Section 12 lays down that except on the authority of a special resolution passed by the company, the registered office of the company shall not be changed outside the local limits of any city.
